Plan Subscription and Renewal Agreement
This Agreement is entered into by Quality Intelligence Neocloud (Shanghai) Technology Co., Ltd. ("we," "us," or "our") and the individual user registered to use the Platform ("you"). It supplements the WYLON® Xinyun Cloud Platform Service Agreement and specifically governs paid subscription matters on the WYLON® Xinyun Cloud Platform (the "Platform"), including plan subscriptions, credit use, renewal (including automatic renewal), refunds, and plan-tier changes.

Please note
By checking the box to agree, placing an order, and/or subscribing to a plan, you acknowledge that you have read, understood, and agreed to comply with all terms of this Agreement. If you do not agree, do not purchase a plan.
1. Scope and Service Overview
- This Agreement applies to all subscription services that you purchase and use through the WYLON® Xinyun Cloud Platform, including through the website or other channels. If you purchase a subscription through a third-party channel, the third party's policies and rules govern the relevant payment, renewal, and refund matters.
- A paid Platform plan provides the credits allocated to the applicable tier during the subscription period. Credits may only be used through a subscription key to call model APIs on the Platform and are consumed according to the deduction standards and rules published by the Platform. The specific content, functions, and usage rules of a subscription are those displayed when you subscribe.
- The Platform offers multiple subscription tiers. The price, credit allowance, and included benefits of each tier are those displayed on the purchase page at that time. Availability or quantities for certain tiers may be limited and offered while supplies last.
- We currently offer monthly plans and recurring monthly plans when you select automatic renewal. Each billing cycle is 30 days. The Platform may introduce other subscription periods in the future and will publish the relevant information when those plans become available. We may also adjust the content and form of subscription services based on business needs and will notify you reasonably in advance.
- Plan subscription benefits are independent of the Platform's pay-as-you-go services. When plan credits are exhausted, only API calls under the plan are paused; billing does not automatically switch to pay-as-you-go. Any existing pay-as-you-go balance and capabilities under your account remain unaffected by the status of the plan.
2. Fees and Payment
- Subscription services are paid services. Fees are those displayed when you subscribe or otherwise notified by the Platform. Plan purchases currently support WeChat Pay only and cannot be paid using your Platform account balance or another payment channel. By placing an order for a plan, you confirm authorization of the WeChat withholding channel for subsequent automatic-renewal charges, if applicable.
- You must provide accurate and valid payment information. If you actively check, confirm, or otherwise select automatic renewal through the interface, you authorize the Platform and/or its partners, if any, to charge your payment method upon expiry of the current subscription period based on the fee for the next renewal period, using the price and service content then in effect on the Platform or service interface. If you do not enable automatic renewal, no automatic charge will be made.
- Invoices: after an individual service cycle has fully ended, you may request an invoice for the amount actually paid for that cycle, less any refunded amount for that cycle. Invoices are not available for orders whose service cycle has not ended. You are responsible for entering truthful and accurate invoicing information. Available invoice types and the invoicing entity are those published by the Platform.
3. Service Cycles and Credit Usage
- Service cycle: your plan takes effect immediately upon payment. The purchase date is the first day of the first service cycle, and each service cycle remains valid until the corresponding date of the following month. If the following month has no corresponding date, the last day of that month is the expiry date. For clarity, one month or each month under a "monthly plan" means a period calculated by calendar month under the period-calculation rules of the Civil Code of the People's Republic of China. The corresponding date in the expiry month is the final day of the period; if no corresponding date exists, the final day of that month is the expiry date. For example, a one-month period beginning July 6 expires August 6, and a one-month period beginning January 31 expires on the final day of February, whether February 28 or 29.
- At the start of each service cycle, the Platform issues the credits corresponding to your plan tier. Unused credits are automatically cleared when that service cycle expires, do not carry over to the next cycle, and are not converted into cash refunds. Complimentary credits, if any, are subject to the same expiry rule. The Platform may notify you through in-Platform messages, email, or another method before credits expire.
- Plan credits may only be deducted when a subscription key is used to call a model API. The deduction standard for each model is as published by the Platform.
- After the credits for the current cycle are exhausted, API access under the plan is paused until credits are issued for the next cycle. You may continue using the separate pay-as-you-go capabilities of your account.
- If your account is frozen due to a violation, risk control, or another reason, the plan cycle continues to run and credits continue to be issued and cleared according to the cycle rules. An account freeze does not pause the plan cycle.
- Credits are solely a unit for measuring service use under this Agreement. They have no cash value and cannot be transferred, withdrawn, traded, or redeemed for cash.
4. Automatic Renewal and Cancellation
- Automatic renewal is not enabled by default. You must manually select and confirm it on the purchase page and authorize the Platform to use WeChat Pay withholding. After authorization succeeds, the Platform will attempt to charge the next cycle's plan fee when the current billing cycle expires. A successful charge starts the next service cycle.
- If automatic renewal is enabled, the subscription renews and is charged when the subscription period expires. If automatic renewal is not enabled, no automatic charge is made when the current period expires. If you wish to continue using the plan, you may purchase it again or actively renew it as directed on the page.
- Before a billing cycle expires and/or before an automatic-renewal charge, we may send a renewal reminder through an in-Platform notice, pop-up, email, or another reasonable method.
- Before the current service period of an automatically renewing service expires, you may stop automatic renewal at any time, and we may stop providing automatic renewal based on operational strategy. The subscription service ends when the current service cycle expires. We will notify you through a Platform announcement, in-Platform notice, email, or another reasonable method. The paid and effective current subscription cycle is unaffected, but whether the service remains available for the next cycle, how it may be renewed, and the applicable rules are governed by the page display or notice then in effect. If a fee adjustment materially disadvantages you, you should stop the service promptly. Continued use is deemed acceptance of the adjustment.
- If a renewal charge fails, including because of insufficient funds, an abnormal payment account, or payment-channel restrictions, the subscription immediately expires without a grace period. To continue using the plan, you must place a new subscription order. For clarity, a failed charge does not automatically terminate the automatic-renewal authorization. You must actively disable the withholding authorization to cancel automatic renewal.
- Canceling a subscription
- "Canceling a subscription" under this Agreement means disabling the automatic-renewal withholding authorization. Cancellation only affects future service cycles; benefits for the current plan remain available until the current cycle expires.
- You may cancel through the Platform's subscription-management page or revoke authorization in WeChat Pay's withholding management. Cancellation through either channel is effective.
5. Refund Rules
- Convenient cooling-off refund within seven days: within seven days after payment, if the service has not actually been used—that is, no plan credits, including complimentary credits, have been deducted or used—you may request a full refund through the Platform's self-service entry. Upon approval, the refund will be returned to the original WeChat Pay account. This seven-day self-service cooling-off period is a convenient expedited refund channel provided by the Platform.
- No refund after the cooling-off period: if more than seven days have elapsed since payment, or if the subscription service has been used or any credits have been deducted during the seven-day cooling-off period, all fees paid are generally non-refundable, except where mandatory laws and regulations require otherwise or we expressly promise otherwise in writing.
- If special circumstances arise and/or a subscription plan is terminated early or removed for reasons attributable to the Platform, we will, after approval, calculate the refund based on the ratio of credits remaining in the current cycle to the total credits for that cycle.
- Refunds are returned to the original WeChat Pay account. Once a refund is completed, the subscription immediately terminates and all remaining plan credits in your account become invalid.
6. Service and Fee Adjustments
- For business adjustments, operational strategy, unforeseen circumstances, changed circumstances, or other reasonable grounds, we may adjust Platform products, subscription services, and fees, including by changing service content, adjusting prices, removing products, canceling services, reducing or adding content, or terminating all or part of a service. We will notify you through the page display, an announcement, an in-Platform notice, or another reasonable method before a new price takes effect. Unless the Platform expressly states otherwise, the automatic-renewal price is the price, usage rules, and promotional arrangement displayed on the Platform on the actual charge date; your initial subscription price is not locked in. If you do not agree with an adjustment, you may disable automatic renewal before renewal. If you retain automatic renewal or continue using the relevant service after a new price takes effect, you are deemed to have accepted the new price.
- Plan-tier upgrades
- If you request an upgrade, the original-tier order is handled under the refund rules in Section 5 of this Agreement. The new-tier plan must be purchased at full price, and its plan cycle begins on the date the upgrade is completed.
- Your original plan benefits remain effective until the upgrade succeeds. Once the upgrade takes effect, the original plan credits become invalid and the new-tier credits are activated.
- Benefit changes and removal of plan tiers
- The Platform may adjust plan-tier benefits and billing deduction standards. Before implementing changes to plan benefits and/or fees, the Platform may notify subscribers to that tier by SMS, email, Platform announcement, in-Platform notice, or another method, stating the change and its effective time. Changes to plan benefits take effect from the next service cycle and do not affect benefits in the current cycle.
- If you do not accept a change to plan benefits, you may disable automatic renewal at any time and continue using the current plan until it expires. The Platform will not require you to accept the changed benefits.
- If the Platform removes a plan tier, it will notify subscribers to that tier at least 30 days in advance—the "removal notice period"—by SMS, email, Platform announcement, in-Platform notice, or another method. From the date of notice, the tier is no longer available to new users. After the removal notice period ends, the tier can no longer be renewed and the subscription automatically terminates when it expires. The Platform may recommend another available tier in the notice. For clarity, effective benefits for the current cycle are unaffected and will continue until the cycle ends.
7. User Commitments and Usage Rules
- General rules
- You must comply with applicable laws, regulations, policies, and industry standards and label AI-generated content when disseminating or using it. You may not use subscription services for any unlawful purpose or for conduct that harms public order, good morals, or the rights and interests of others.
- You must comply with the Platform's usage rules, service agreement, privacy policy, and other applicable agreements.
- A violation of this Agreement or a related agreement may result in suspension or termination of service, and fees already paid will not be refunded.
- Restrictions on use cases
- You understand and agree that usage capacity under a subscription service may only be used in official tools supported by the Platform. If you use an unofficial tool or an unauthorized method, the Platform may restrict, suspend, or block the relevant benefits.
- You may not use subscription-service capacity for general API integrations or scenarios outside the tools described above, including direct model-interface calls from self-built applications, bots, websites, SaaS products, or other systems, unless you enter into a separate written agreement with us.
- Unless otherwise agreed in writing, you may not make subscription-service capacity available to any third party through resale, agency sale, repackaging, aggregated forwarding, or another method, or use it to provide paid or free model-capability services to a third party.
- Personal-use restrictions
- You undertake to use the plan subscription service solely as the natural person bound to the account. You may not allow another person or third party—including relatives, friends, colleagues, customers, legal entities, or organizations—to use your API capacity through account sharing, rental, lending, transfer, sublicense, or another method. You may not rent, sell, or share a subscription key or plan credits with a third party for commercial operation.
- If we reasonably suspect account sharing, batch calls, provision of services on behalf of another party, purchasing on behalf of another party, resale of access, or other conduct that may harm the fair-use order of the Platform or the lawful rights and interests of a third party, we may restrict some or all functions, reduce or limit usage capacity, freeze or terminate the service, recover remaining capacity, and pursue liability under this Agreement and applicable law.
8. Service Changes, Interruptions, and Disclaimers
- We will use reasonable efforts to maintain the stability and security of your subscription service, but we do not guarantee that the service will be entirely free from defects or meet your expectations, and we are not liable for service interruptions caused by force majeure, network failures, and/or third parties.
- If force majeure, cyberattacks, changes in laws and regulations, or regulatory requirements cause the Platform service to be temporarily or permanently adjusted or taken offline, the Platform may terminate the service and handle refunds under this Agreement.
- Unless laws and regulations expressly provide otherwise, our total direct liability to you, regardless of its cause or form, will not exceed your total spending during the most recent calendar month.
9. Amendment and Termination
- We may amend and/or update this Agreement based on changes in laws, regulations, and regulatory policies, market conditions, service needs, or business strategy and will publish the amended or updated Agreement in a prominent location on the Platform. The amended or updated Agreement takes effect on publication. We may notify users of material changes by SMS or email.
- If you continue using subscription services after this Agreement is amended, you are deemed to have accepted the amended and/or updated Agreement. If you do not agree with a revised version, you may disable automatic renewal and use the plan until the current service cycle ends.
- If you violate applicable laws, regulations, rules, or policies, and/or the Cloud Platform Service Agreement, Privacy Policy, User Top-Up Agreement, or another Platform rule or notice, we may suspend or terminate your use of the Platform services.
10. Other Terms
- The formation, effectiveness, performance, interpretation, and disputes of this Agreement are governed by the laws of the People's Republic of China.
- Any dispute arising from the execution or performance of this Agreement shall first be resolved through friendly negotiation. If negotiation fails, the dispute shall be submitted to the people's court with jurisdiction at the location of Quality Intelligence Neocloud (Shanghai) Technology Co., Ltd.
- If any provision of this Agreement is partially invalid or unenforceable for any reason, the remaining provisions remain valid and binding on both parties.
